Terms of Service

These Terms of Service (“Terms”) govern your use of Resolve Vault (the “App”) provided by Hugo Miguel Carvalho Soares (“we”, “us”).

By downloading, installing, activating, or using the App, you agree to these Terms.

1. Eligibility

You represent that you are legally able to enter into these Terms and, if acting on behalf of an entity, have authority to bind that entity.

2. License Grant

Subject to payment and compliance, we grant you a limited, non-exclusive, non-transferable, revocable license to use the App according to your purchased plan and seat limits.

3. Account, Activation, and Keys

  • License keys are issued per plan terms.
  • We may bind licenses to device/hardware identifiers for anti-abuse.
  • You are responsible for keeping license credentials secure.

4. Acceptable Use

You must not:

  • Reverse engineer, decompile, or attempt to extract source code except where law permits.
  • Bypass licensing or technical controls.
  • Use the App for unlawful activity.
  • Interfere with service security, reliability, or integrity.

5. Third-Party Services and Platform Dependency

The App may integrate with third-party services (for example cloud storage providers, or Lemon Squeezy as our checkout provider). Your use of those services is governed by their terms and policies.

The App's core functionality depends on integration with DaVinci Resolve, a product of Blackmagic Design Pty Ltd. We are not owned by, controlled by, or affiliated with Blackmagic Design. Blackmagic Design may change, restrict, or discontinue the APIs, file formats, or integration points the App relies on at any time, without notice to us. We do not guarantee continued compatibility with DaVinci Resolve, and we are not liable for any loss of functionality, data, or value resulting from changes made by Blackmagic Design that are outside our control.

6. Fees, Billing, and Taxes

Pricing, billing cycle, and taxes are shown at checkout. Except where law requires otherwise, fees are non-refundable per our Refund Policy.

We may change prices for future purchases at any time, for any reason, at our discretion. Price changes do not affect licenses you have already purchased.

7. Intellectual Property

The App, branding, and related materials are owned by Hugo Miguel Carvalho Soares and protected by IP laws. No rights are granted except as expressly stated.

8. Updates and Changes

We may update features, fix bugs, or change APIs/integrations. Some updates may be required for continued use.

Your purchase includes all updates released within the major version line you purchased (for example, all v1.x releases if you purchased under v1). We reserve the right to offer future major versions, new feature tiers, or new products under different pricing models — including subscription pricing — at our discretion. This does not change the terms of a license you have already purchased.

We may discontinue the App, this service, or our supporting infrastructure (including the licensing server) at any time, for any reason, with or without notice, and we are under no obligation to continue operating, maintaining, or supporting them indefinitely. If we do so, previously issued licenses continue to function according to the terms already in effect at issuance. However, functionality that depends on our servers being online — including activating or reactivating a license on new hardware, license transfers, and further updates or support — may no longer be available.

9. Termination

We may suspend or terminate access for breach, abuse, legal risk, or non-payment. On termination, your right to use the App ends immediately.

10. Disclaimer of Warranties

To the maximum extent permitted by law, the App is provided “AS IS” and “AS AVAILABLE” without warranties of any kind.

11. Limitation of Liability

To the maximum extent permitted by law, Hugo Miguel Carvalho Soares is not liable for indirect, incidental, special, consequential, or punitive damages, or loss of profits, revenue, data, or goodwill.

Aggregate liability is limited to amounts paid by you for the App in the 12-month period before the claim.

12. Indemnity

You agree to indemnify and hold Hugo Miguel Carvalho Soares harmless from claims arising from your misuse of the App or violation of these Terms.

13. Governing Law and Venue

These Terms are governed by the laws of Portugal, excluding conflict of laws rules.

Disputes will be resolved in the courts of Lisbon, Portugal, unless consumer law requires otherwise.

14. Changes to Terms

We may update these Terms. Continued use after the effective date means acceptance of the revised Terms.

15. Severability

If any provision of these Terms is found invalid or unenforceable, the remaining provisions remain in full force and effect.

16. Entire Agreement

These Terms, together with the EULA, Privacy Policy, and Refund Policy, constitute the entire agreement between you and us regarding the App, and supersede any prior or informal representations, including statements made in email or support correspondence.

17. Assignment

We may assign or transfer these Terms, and our rights and obligations under them, at any time (for example as part of a business transfer or restructuring), without requiring your consent. You may not assign your rights under these Terms without our written consent.

18. Beta Program

If you are given access to the App as part of a beta, pre-release, or early-access program, additional terms apply: the App may be unstable, incomplete, or contain bugs; features may change or be removed without notice; we do not guarantee any specific level of support, uptime, or continuity for beta access; and beta access may be limited in duration, revoked, or discontinued at any time, at our discretion, without compensation. Beta participation is voluntary and, unless otherwise stated, provided free of charge.

19. Feedback

If you provide suggestions, feature requests, bug reports, or other feedback about the App, you grant us a perpetual, irrevocable, royalty-free license to use that feedback for any purpose, including improving the App, without any obligation to compensate or credit you.
